And Another Blue State Bites the Dust

Speaking of blue states in rapid decline, we now turn our attention to the “D-Exit” phenomenon. That’s the sudden mad dash by corporations to get out of Delaware.

Delaware has for 100 years been the number one state of incorporation for publicly traded companies.  Now they’re dashing for the exits, as DoorDash has become the latest expatriate. DoorDash, the online food delivery service, is headed to Nevada after a unanimous vote of its board.

According to Newsmax, the board “pointed to what it sees as surprising outcomes in Delaware courts and an increasingly litigious corporate environment.” CEOs now see Delaware courts as unpredictable, woke and anti-business.

Delaware’s fall from grace: in two years has been astonishing: some 60 public companies with over $3 trillion in combined market capitalization have left Delaware – most often Texas and Nevada.

Delaware historically captured more than 80% of operating-company IPOs, and that rate is already down to 64% – and falling.
